1. Acceptance of Terms

By accessing wisad.co, creating an account, installing a Wisad app, or otherwise using the Service, you agree to these Terms of Service ("Terms") and our Privacy Policy. If you use Wisad on behalf of a business, you represent that you have authority to bind that business, and "you" includes that business.

If you do not agree, do not use the Service.

2. Definitions

  • "Service" means Wisad’s websites, applications, APIs, widgets, apps listed on third-party app stores/marketplaces, and related features.
  • "Content" means text, images, audio, video, product data, captions, and other materials submitted to or generated by the Service.
  • "Integrations" means optional connections to third-party platforms such as Shopify, Salla, TikTok, YouTube, Snapchat, Google, Moyasar, and similar providers.

3. The Service

Wisad provides tools to create marketing and storefront videos from business sources you supply, publish content to connected social platforms, embed video experiences on websites/stores, and access related analytics and workspace features.

We may modify, suspend, or discontinue features (including beta or preview features) with or without notice, provided that material paid-plan changes follow the notice practices described in the billing section where required.

4. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate registration information, keep credentials confidential, and promptly update account details.

You are responsible for activity under your account and connected Integrations. Notify us immediately of unauthorized access at hello@wisad.co.

5. Acceptable use

You agree not to:

  • Submit URLs, media, or claims you do not have rights to use in marketing.
  • Upload or generate unlawful, deceptive, defamatory, infringing, hateful, or otherwise prohibited Content.
  • Violate any third-party platform terms, advertising policies, or community guidelines when publishing through Wisad.
  • Attempt to reverse engineer, scrape, overload, probe, or disrupt the Service or other customers.
  • Resell Wisad as an unauthorized white-label rendering bureau or misuse API/widget access.
  • Use the Service to process special-category personal data or children’s data not needed for ordinary merchant marketing workflows.

6. Storefront integrations and merchant responsibilities

If you install Wisad on Shopify, Salla, or another storefront, you authorize Wisad to access store data within the scopes presented at install time for video creation, widget delivery, and enabled attribution features.

You remain responsible for your storefront’s legal notices, cookie/consent banners, product claims, pricing accuracy, and customer communications. Wisad widgets are provided as merchant tools; they do not replace your obligations under consumer, e-commerce, or privacy law.

Uninstalling an app or revoking access may disable related features. Platform-mandated deletion/redaction events may permanently remove associated Wisad connection data.

7. Social publishing integrations

Connecting TikTok, YouTube, Snapchat, or similar accounts authorizes Wisad to perform actions permitted by the scopes you approve (for example uploading a video you select). You are solely responsible for captions, claims, music/licensing, disclosure requirements, and compliance with each platform’s rules.

Wisad uses YouTube API Services. By using Wisad’s YouTube features, you agree to be bound by the YouTube Terms of Service at https://www.youtube.com/t/terms.

Platforms may change APIs, revoke tokens, throttle publishing, or reject content. Wisad is not liable for platform-side refusals, ranking, reach, monetization, or account enforcement actions.

8. Subscriptions, credits, and billing

Paid plans and creative credits are described on the pricing page and at checkout. Prices are generally listed in SAR and may include VAT where applicable. Plans renew automatically each billing cycle unless cancelled before renewal according to the cancellation controls available for your billing provider (Wisad billing settings, Moyasar-managed subscription, or Shopify Billing, as applicable).

Creative credits typically reset each billing cycle and do not roll over unless we expressly state otherwise in writing. We may change prices or plan features with at least 30 days’ notice for renewals where required; continued renewal after notice constitutes acceptance.

9. Refunds

Because Wisad delivers digital services and creative capacity upon activation/render, subscription fees are generally non-refundable once a billing period begins, except where mandatory consumer law requires otherwise.

If a render fails due to a verified Wisad platform error, we will restore the affected credit or re-render at no additional charge. Billing disputes should be raised promptly to hello@wisad.co with your account email and invoice/transaction reference.

10. Content ownership and licenses

You retain ownership of your Input Content and, as between you and Wisad, videos generated from your business inputs, subject to third-party rights and platform licenses. Wisad and its licensors own the Service, software, templates, models configurations, documentation, and brand.

You grant Wisad a worldwide, non-exclusive license to host, process, transmit, render, and display Content solely to provide and secure the Service. If you use outreach preview pages or public embeds, you authorize the corresponding display.

11. AI-assisted outputs

Parts of the Service use automated systems to draft copy, select visuals, or assemble video. Outputs may be imperfect, incomplete, or unsuitable for your market. You must review Content before publishing and are solely responsible for final marketing claims, pricing, offers, and compliance.

12. Outreach preview pages

Wisad may generate private preview pages for prospecting. Claiming a preview confirms you are authorized to manage the depicted business information. Unclaimed previews may expire or be removed. Preview Content is illustrative and may differ from production renders after onboarding.

13. Third-party services

Integrations are optional and subject to third-party terms. Wisad does not control and is not responsible for third-party outages, policy changes, fees, or data practices beyond our own Privacy Policy commitments and contractual controls with subprocessors.

14. Intellectual property and feedback

All Wisad trademarks, UI, and software are protected. You may not copy or misuse them. If you submit feedback or suggestions, you grant Wisad a perpetual, royalty-free license to use that feedback without obligation to you.

15. Confidentiality

Non-public account credentials, tokens, and unpublished business Content you store in Wisad should be treated as confidential. We protect such information under our security practices and Privacy Policy. You must not share access credentials with unauthorized persons.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISAD DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE specific marketing results, uninterrupted rendering, platform algorithm performance, or that outputs will be error-free.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISAD AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO WISAD FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

18. Indemnification

You will defend and indemnify Wisad against claims, damages, losses, and expenses (including reasonable legal fees) arising from your Content, your storefront or social publishing, your violation of these Terms, or your violation of third-party rights or platform rules.

19. Suspension and termination

You may stop using the Service and cancel paid plans according to your billing provider’s controls. We may suspend or terminate access if you violate these Terms, create abuse/security risk, fail to pay fees, or if required by law or a platform partner.

Upon termination, your right to access credits and hosted Content may end subject to your plan and our retention obligations. Sections that by nature should survive (including ownership, disclaimers, liability limits, and indemnity) will survive termination.

20. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date will change when we do. If a change is material, we may provide additional notice. Continued use after the effective date constitutes acceptance, except where mandatory law requires express consent.

21. Governing law and disputes

These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia. Courts in Riyadh shall have exclusive jurisdiction, except where mandatory consumer protection rules require otherwise.

22. Miscellaneous

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. These Terms, together with the Privacy Policy and any plan-specific checkout terms, are the entire agreement regarding the Service.
